Terms of Service - Booking Engine

These Terms of Service (“Terms”) govern your use of the online booking engine (“Booking Engine”) provided by Flora Plus, LLC (“Flora Plus,” “we,” “us,” or “our”) to book tourism activities offered and fulfilled by independent third-party tour operators (“Operators”). By clicking “Continue”, completing a booking, or otherwise using the Booking Engine, you acknowledge that you have read, understood, and agree to be bound by these Terms and the Flora Plus Privacy Policy.
If you do not agree to these Terms, you must not use the Booking Engine or complete a booking.
1. Who We Are and How Our Service Works
Flora Plus, LLC is a technology company based in Delaware, United States. We provide a Booking Engine that Operators can integrate into their websites and other sales channels to allow you (“Customer,” “you,” or “your”) to book tours, activities, and other tourism services (collectively, the “Services”).
- The Operator, not Flora Plus, is the seller and provider of the Services.
- When you make a booking, you enter into a direct contract with the Operator who provides the activity, not with Flora Plus, for the performance of the Service.
- Flora Plus is only a software provider of the technological infrastructure needed to facilitate the booking and processes your payment as Merchant of Record on behalf of the Operator.
Flora Plus is not a travel agency, tour operator, or provider of the Services and does not control or manage the Services you book. Flora Plus does not organize, supervise, manage, control, or provide the tourism services or activities. Flora Plus does not assume responsibility for the Operator’s acts, omissions, conduct, or service quality. If you experience any issue related to the activity or service, the Operator is solely responsible, and all claims must be directed to the Operator.
2. Acceptance of These Terms
By clicking “Continue” or completing a booking through the Booking Engine, you confirm, acknowledge, and agree that:
- You have read, understood, and agree to these Terms.
- You are at least 18 years old and have legal capacity to enter into a binding agreement, or have parental/guardian consent.
- The contract for the Services is between you and the Operator, and that Flora Plus acts solely as the booking and payment facilitator, as described in these Terms.
- The Operator is solely responsible for the operation, quality, legality, safety, availability, and delivery of the activity.
- The Operator defines all schedules, restrictions, prices, rules, and cancellation/refund policies.
- Flora Plus has no control over the Operator, its staff, equipment, facilities, or decisions.
- Any accidents, injuries, delays, changes, service issues, or disputes arising from the activity are the sole responsibility of the Operator.
If you are booking on behalf of other participants, you represent that you are authorized to accept these Terms on their behalf and that all information you provide is accurate and complete.
3. Booking Process
The booking process generally consists of the following steps:
- Selection of Service and Details. You select the Service, date, time, number of participants, and any other options offered by the Operator.
- Customer Information. You provide your personal details and any information required by the Operator to process the booking or deliver the Service.
- Payment. You provide your payment details and confirm the booking. Flora Plus may refuse, cancel, or reverse a booking for fraud prevention, compliance requirements, risk evaluation, operational errors, or suspicious activity.
- Confirmation. Once your payment is processed, the booking is confirmed on behalf of the Operator.
Before confirming the booking, you will have the opportunity to review all key booking details. It is your responsibility to verify the accuracy of the information before submitting payment.
Once processed, you will receive a confirmation email generated via the Flora Plus system on behalf of the Operator. The Operator is solely responsible for the accuracy of all details and information shown in the listing and confirmation.
Flora Plus provides only the technology that facilitates the reservation and processes your payment on behalf of the Operator. Flora Plus is not a tour operator, travel agency, organizer, or provider of the activity.
4. Confirmation, Tickets, and Invoices
- Booking Confirmation. After successful payment, you will receive an automatic booking confirmation generated by Flora Plus on behalf of the Operator.
- Tickets / Vouchers. Any ticket, voucher, or confirmation you receive is generated solely for the Operator, who is responsible for the accuracy of all information provided.
- Invoices and Tax Receipts. Flora Plus does not issue invoices, receipts, electronic invoices, or tax documents for your booking. If you require an invoice or tax receipt, you must request it directly from the Operator, who is the seller of the Services and solely responsible for tax compliance.
- Operator Charges. All taxes, fees, surcharges, and other amounts included in the price are determined exclusively by the Operator. Flora Plus does not verify, calculate, determine, collect, or remit taxes on behalf of the Operator and is not responsible for the accuracy of any tax amounts disclosed by the Operator.
5. Prices, Taxes, and Currency
All prices, fees, and charges for the Services are set exclusively by the Operator and displayed in the Booking Engine.
- Prices may include or exclude applicable taxes, surcharges, or fees, as determined by the Operator or required under local law.
- Any information regarding taxes or fees is provided under the sole responsibility of the Operator.
- Flora Plus does not calculate, verify, determine, collect, or remit taxes for the Operator and is not responsible for the accuracy of tax amounts included in the price.
Unless otherwise clearly stated during checkout, payments are processed in United States Dollars (USD). If your payment method uses a different currency, your bank or card issuer may apply exchange rates or conversion fees, for which Flora Plus is not responsible.
The Operator is the seller of the Services and is solely responsible for issuing invoices, tax receipts, or fiscal documentation related to your booking.
6. Payment Processing and Merchant of Record
Flora Plus acts as Merchant of Record for payments made through the Booking Engine. This means that:
- Your payment is processed by Flora Plus (through its authorized payment partners) in connection with your booking. The charge on your bank statement may reference Flora Plus.
- Flora Plus collects payment solely as a technical intermediary on behalf of the Operator and later settles the applicable amounts with the Operator.
- Flora Plus is not the seller of the activity.
- Flora Plus’ role is limited to processing payments and facilitating refunds and adjustments as described in these Terms.
Flora Plus does not issue tax invoices or receipts for the Services.
If you need a tax invoice, receipt, or fiscal document, you must request it directly from the Operator, who is the seller of the Services and responsible for tax compliance.
7. Cancellations, Changes, and Refunds
7.1 Operator Policies
Each Operator exclusively establishes its own policies regarding cancellations and changes, late arrivals or no-shows, weather-related changes, refunds, and any other conditions related to the Services. Before completing your booking, you must review the Operator’s cancellation and refund policy, which should be available on the Operator’s website or sales channels. By confirming the booking, you accept and agree to be bound by the Operator’s applicable policies.
The Operator may modify or cancel an activity due to weather, safety concerns, operational challenges, government regulations, or other circumstances. Events such as natural disasters, extreme weather, strikes, pandemics, or government actions may cause cancellations or changes. Flora Plus is not responsible for any such events.
In the event of any inconsistency between the Operator’s website policies and any other communication, the policy published on the Operator’s website will govern. Flora Plus has no obligation to mediate disputes between you and the Operator, and any resolution of such matters is solely the Operator’s responsibility.
7.2 Requests for Cancellations and Changes
If you wish to cancel or modify a booking, you must follow the instructions provided in your booking confirmation or by the Operator. Depending on the Operator’s policies and applicable law, cancellations, changes, or refunds may:
- Be fully refundable, partially refundable, or non-refundable.
- Be subject to deadlines, fees, or specific conditions.
- Not be available for certain types of Services (for example, last-minute or non-refundable offers).
Flora Plus does not guarantee that any cancellation, refund, or change request will be accepted. Acceptance of such requests is determined solely by the Operator’s policies and applicable law.
Refunds and How They Are Processed
Where a refund is approved under the Operator’s policies or required by applicable law, Flora Plus may technically execute the refund on behalf of the Operator using the same payment method you used for the booking, whenever possible.
Flora Plus does not evaluate the merits of refund requests, does not determine whether you are entitled to a refund, and does not mediate disputes between you and the Operator. Flora Plus may process a refund only when:
- explicitly instructed by the Operator, or
- required under card network rules, fraud-prevention requirements, or applicable law.
In limited circumstances (such as suspected fraud, duplicate charges, or obligations imposed by payment network rules), Flora Plus may initiate the technical execution of a refund to protect Customers or comply with mandatory standards. Such actions do not constitute a decision regarding refund eligibility, which remains exclusively with the Operator and applicable law.
Flora Plus is not responsible for delays caused by banks, card issuers, or payment networks once a refund has been initiated.
8. Role and Responsibility of the Operator
The Operator is solely responsible for:
- Designing, offering, and delivering the Services.
- The availability, quality, safety, legality, accuracy, and delivery of the tourism services
- Ensuring that all information about the Services (description, itinerary, inclusions, exclusions, requirements, restrictions, meeting points, etc.) is accurate and up to date.
- Providing customer service and support related to the Services.
- Complying with all applicable laws, including those related to tourism, safety, transportation, health, taxes, permits, and insurance.
- Managing on-the-ground incidents, delays, cancellations, or changes to the Service.
Any questions, complaints, or claims about the Service itself (including quality, safety, performance, or experience) must be addressed directly to the Operator, as your contract for the Service is with the Operator.
9. Flora Plus’ Limited Role and Disclaimer
Flora Plus provides a technology platform that allows you to make bookings and process payments. Flora Plus:
- Does not design, operate, or control the Services.
- Does not supervise the Operator or its personnel.
- Does not guarantee the quality, safety, legality, or suitability of the Services.
- Does not provide transportation or equipment and is not present during the execution of the Service.
By using the Booking Engine, you acknowledge and agree that all tourism services are designed, operated, and delivered solely by the Operator, and that any claims, damages, injuries, losses, delays, accidents, service failures, or other issues arising from your participation in the Service or your interactions with the Operator are the exclusive responsibility of the Operator.
To the maximum extent permitted by law, Flora Plus is not responsible or liable for:
- Acts, omissions, negligence, or misconduct of the Operator or its employees, contractors, guides, suppliers, or agents.
- Inaccuracies in Operator information.
- Equipment, facilities, transportation, or safety measures.
- Fulfillment or non-fulfillment of the booking.
- Cancellations, reschedules, or enforcement of the Operator’s policies.
- Any personal injury, property loss, damage, accident, delay, or other event that occurs before, during, or after your participation in the Service.
You expressly release Flora Plus, LLC and its affiliates, directors, officers, employees, and agents from any liability solely arising from the Operator’s acts, omissions, negligence, misconduct, or failure to deliver the Service, except to the extent that such liability cannot be excluded under applicable law.
10. Accuracy of Information
All activity information, including descriptions, schedules, images, restrictions, pricing, and availability, is provided exclusively by the Operator. Flora Plus does not independently verify the accuracy or completeness of such information and shall not be liable for any errors, inaccuracies, or omissions provided by the Operator.
Flora Plus does not guarantee the accuracy, completeness, reliability, or availability of any Operator information. Flora Plus may correct errors, mistakes, inaccuracies, or omissions at any time, including after a booking is submitted.
11. Your Responsibilities as a Customer
By using the Booking Engine and booking a Service, you agree to:
- Provide accurate, complete, and current information at all stages of the booking.
- Review and comply with the Operator’s terms, conditions, and requirements, including age limits, health and fitness requirements, equipment specifications, and meeting instructions.
- Arrive on time at the designated meeting point and follow the Operator’s instructions.
- Inform the Operator of any relevant medical conditions, disabilities, or special needs, where required or appropriate.
- Use the Services in a safe, respectful, and lawful manner.
You are responsible for verifying your travel documents, visas, insurance coverage, and any other requirements needed to participate in the Service.
12. Prohibited Use of the Booking Engine
You agree not to:
- Use the Booking Engine for any fraudulent, illegal, or abusive purpose.
- Make speculative or fake bookings.
- Attempt to interfere with or disrupt the proper functioning, security, or performance of the Booking Engine.
- Use automated systems (such as bots, crawlers, or scrapers) to access or interact with the Booking Engine.
- Try to bypass security measures or gain unauthorized access.
- Provide false or misleading information when making a booking.
- Copy, modify, or reverse engineer any part of the Booking Engine.
- Use the Booking Engine in any manner that harms Flora Plus, Operators, or other users
Flora Plus reserves the right to refuse, cancel, reverse a booking, or take legal action if it has reasonable grounds to believe that the transaction is fraudulent, abusive, suspicious activity, made in violation of these Terms, or poses a risk to the integrity or security of the Booking Engine.
13. Limitation of Liability
You acknowledge that Flora Plus does not operate, manage, supervise, or provide the activities or services you book, and that any liability related to the Service itself lies exclusively with the Operator.
To the maximum extent permitted by applicable law:
- Indirect and Consequential Damages. Flora Plus is not liable for any indirect, incidental, consequential, special, or punitive damages, including loss of profit, loss of opportunity, loss of enjoyment, or loss of data, arising out of or in connection with your use of the Booking Engine or the Services.
- Responsibility for Services. Any claims related to the Service itself (including quality, risks, safety, performance, or delivery) are strictly between you and the Operator. Flora Plus’ role is limited to providing the booking and payment infrastructure.
- Maximum Liability. If Flora Plus is found liable to you for any reason in connection with your use of the Booking Engine, Flora Plus’ total aggregate liability shall not exceed the greater of USD 200, or the total Service Commission, if any, retained by Flora Plus in connection with the specific booking that gave rise to the claim. This limitation applies to all claims, whether based in contract, tort, statute, or otherwise, to the maximum extent permitted by applicable law. This limitation does not affect Flora Plus’ obligation, if any, to refund any amounts incorrectly charged to you due to a processing error for which Flora Plus is responsible.
14. Time to Bring Claims
Any claim or cause of action arising out of or related to your use of the Booking Engine must be filed within twelve (12) months from the date on which such claim arose, except where a longer mandatory statutory period applies under the laws of your country of residence, in which case that longer period will apply. After this period, you agree that such claim shall be permanently barred, unless a longer period is required by applicable law. Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited under applicable law.
15. Intellectual Property
All software, interfaces, designs, text, graphics, logos, and other content related to the Booking Engine are the exclusive property of Flora Plus or its licensors and are protected by intellectual property laws.
You may use the Booking Engine only for personal, non-commercial purposes to make legitimate bookings. You may not copy, modify, distribute, or reverse-engineer the Booking Engine. You acquire no ownership rights over the Booking Engine or any associated intellectual property.
The names, logos, and brands of Operators are the property of the respective Operators.
16. Data and Privacy
Your use of the Booking Engine involves the collection and processing of personal data such as your name, contact details, and booking information.
- Flora Plus acts as an independent data controller for the personal data it processes in the operation of the Booking Engine.
- Flora Plus shares relevant Customer information with the Operator so that the Operator can fulfill your booking and deliver the Service.
- The Operator acts as an independent controller for its own use of your data in connection with the Service.
For detailed information on how Flora Plus collects, uses, stores, and protects your personal data, and on your rights under applicable data protection laws, please refer to the Flora Plus Privacy Policy, which you can access via the link shown during the booking process. By booking, you consent to its terms.
17. Governing Law and Disputes
These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-law rules. This Section applies solely to disputes between you and Flora Plus arising out of or relating to these Terms or your use of the Booking Engine.
Nothing in these Terms requires you, as a consumer, to comply with any dispute resolution process that applies to Operators under their separate commercial agreements with Flora Plus.
If you have a complaint about the Service itself (including its content, performance, delivery, schedule, or safety), you must contact the Operator directly. If your complaint relates to the booking process or payment processing, you may contact Flora Plus using the details provided in Section 21.
Nothing in this Section limits any mandatory consumer rights you may have under the laws of your country of residence.
18. Entire Agreement
These Terms, together with the Privacy Policy and any information expressly referenced during the booking process, constitute the entire agreement between you and Flora Plus regarding your use of the Booking Engine and supersede all prior or contemporaneous understandings or agreements relating to the same subject matter.
19. Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court or other competent authority, that provision shall be enforced to the maximum extent permitted by law, and the remaining provisions shall continue in full force and effect. To the extent possible, any invalid, illegal, or unenforceable provision shall be replaced by a valid and enforceable provision that most closely reflects the original intent of the parties.
20. No Waiver
No failure or delay by Flora Plus in exercising any right, power, or remedy under these Terms shall operate as a waiver of that or any other right, power, or remedy. Any waiver of any provision of these Terms will be effective only if it is in writing and signed by an authorized representative of Flora Plus.
21. Language and Prevailing Version
These Terms may be made available in multiple languages for your convenience. In the event of any inconsistency, conflict, or ambiguity between the English version and any translated version, the English version shall prevail and govern.
22. Changes to These Terms
Flora Plus may update these Terms from time to time. When we do so:
- The updated Terms will be posted and the “Last updated” date will be modified;
- The updated Terms will apply to new bookings made after the effective date;
- For bookings already made, the version of the Terms in effect at the time of booking will generally continue to apply to that booking, unless a change is required by law.
By continuing to use the Booking Engine after the updated Terms take effect, you agree to be bound by the revised Terms.
